2. Intellectual Property

All content, software, designs, trademarks, and other materials comprising the Services are the property of Beaver Run Development LLC or its licensors and are protected by applicable intellectual property laws. 3. Client Deliverables

Ownership and licensing of work product created for clients is governed by the applicable project agreement or statement of work. In the absence of a separate agreement, we retain ownership of all pre-existing intellectual property and grant clients a non-exclusive license to use deliverables for their intended business purpose.

4. Confidentiality

Both parties agree to treat confidential information received from the other party with reasonable care and not to disclose it to third parties without prior consent, except as required by law or as necessary to perform under an agreement.

5. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Beaver Run Development LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, regardless of the theory of liability.

7. Indemnification

You agree to indemnify and hold harmless Beaver Run Development LLC from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Services or violation of these Terms.

8. Third-Party Services

Our Services may integrate with or link to third-party platforms. Your use of those platforms is subject to their own terms and privacy policies. We are not responsible for the content, availability, or practices of third-party services.

9. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms. Upon termination, all rights granted to you will immediately cease. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.
